These Terms of Use (the "Terms") are a binding contract between you and Baltar LLC ("Baltar," "we," and "us"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in the Privacy Policy and Copyright Dispute Policy.
PLEASE READ THESE TERMS CAREFULLY. THEY COVER IMPORTANT INFORMATION ABOUT SERVICES PROVIDED TO YOU. THESE TERMS INCLUDE INFORMATION ABOUT FUTURE CHANGES TO THESE TERMS, AUTOMATIC RENEWALS, LIMITATIONS OF LIABILITY, A CLASS ACTION WAIVER AND RESOLUTION OF DISPUTES BY ARBITRATION INSTEAD OF IN COURT.

If you don't agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

The Children's Online Privacy Protection Act ("COPPA") requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under 13 years of age. Our Services are not directed to children under 18 years of age, and we do not knowingly collect personal information from children under 13 years of age.
If we learn we have collected personal information from a person under 18 years of age, we will delete that information as quickly as possible. If you believe that someone under 18 years of age may have provided us personal information, please contact us at hello@baltar.ai.
Baltar develops and operates mobile applications and related services. Some of our applications include AI-powered features such as AI chatbots or AI companions. You can interact with these features for companionship, journaling, self-reflection, and other personal use cases in accordance with these Terms.
You may be required to sign up for an account and provide certain information or data. You promise to provide us with accurate, complete, and updated registration information about yourself. You may not transfer your account to anyone else without our prior written permission.
You represent and warrant that you are an individual of legal age to form a binding contract (at least 18 years of age or the age of majority in your jurisdiction, whichever is greater).
You will only use the Services for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you.
Some of our Services include AI-powered features for entertainment, companionship, journaling, and creative exploration. These Services are not a substitute for professional advice, including but not limited to medical, mental health, legal, financial, or other professional services.

Baltar is a provider of software services and does not offer medical advice, diagnoses, or engage in the practice of medicine. Our Services are offered for communicative and entertainment purposes only and are not intended to be a substitute for professional medical advice, diagnosis, or treatment.

You represent, warrant, and agree that you will not provide or contribute anything to the Services, or otherwise use or interact with the Services, in a manner that:
The materials displayed or available through the Services, including text, graphics, data, photos, images, illustrations, and so forth (the "Content"), may be protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services.
You understand that Baltar owns the Services, including all software, technology, and intellectual property rights therein.
For all user content, you grant us a license to translate, modify (for technical purposes), reproduce, and otherwise act with respect to such content to enable us to operate the Services and our businesses. For clarity, these license grants do not affect your ownership or other license rights in your content.
If you provide us with any feedback, suggestions, or feature requests, you grant us a license to freely use, modify, and commercially exploit the feedback.
We're always trying to improve our Services, so they may change over time. We may suspend or discontinue any part of the Services, or introduce new features or impose limits on certain features or restrict access to parts or all of the Services.
The Services may be free or we may charge a fee for certain features. If you are using a free version, we will notify you before any Services begin carrying a fee.
Some of our Services are available on a subscription basis. When you purchase a subscription, you will be charged the applicable fee at the beginning of your subscription period and, unless you cancel, your subscription will automatically renew at the end of each period (weekly, monthly, or annually, depending on the plan you select) at the then-current price.
If a free trial is offered, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be charged the subscription fee applicable to the plan you selected at the time of sign-up.
You can manage or cancel your subscription at any time:
Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period ends. No refunds or credits will be provided for partial subscription periods.
For purchases made through the App Store or Google Play, billing and refunds are handled by the applicable store in accordance with their terms and conditions. We do not process payments directly — all transactions are managed by Apple or Google.
You're free to do that at any time by contacting us at hello@baltar.ai or through your account settings. We are also free to terminate or suspend your access for any reason, including breach of these Terms.
If you use our iOS applications, the following additional terms apply:
THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL BALTAR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY AMOUNT IN EXCESS OF THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO BALTAR IN THE 12 MONTHS PRECEDING THE APPLICABLE CLAIM.
You agree to indemnify and hold Baltar harmless from and against any and all claims, liabilities, damages, losses, and expenses arising from or related to your use of the Services and your violation of these Terms.
The parties shall use their best efforts to settle any dispute through good-faith negotiations. If not resolved, it shall be settled by binding arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures, by one commercial arbitrator. ALL CLAIMS MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. YOU AND BALTAR WAIVE ANY RIGHT TO A JURY TRIAL.

These Terms are governed by and will be construed under the Federal Arbitration Act, applicable federal law, and the laws of the State of Wyoming, without regard to conflicts of law provisions.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force. These Terms constitute the complete and exclusive agreement between you and Baltar.

Your use of Baltar's Services is at all times subject to our Terms of Use, which incorporates this Privacy Policy.
This Privacy Policy covers how we treat Personal Data that we gather when you access or use our Services. "Personal Data" means any information that identifies or relates to a particular individual. This Privacy Policy does not cover the practices of companies we don't own or control.

We use industry-standard security technologies and procedures to protect your data. All transmitted data is encrypted using Transport Layer Security (TLS). All stored data is maintained on secure servers with multi-layered security controls including firewalls, access controls, and passwords.
While we use reasonable commercial efforts, no technology can be guaranteed to be 100% secure. In the event of a breach, we will notify you in accordance with applicable law.
Our apps store your content locally on your device for offline access and performance. To provide and maintain the Services — including account management, data integrity, service improvement, and enabling features such as data recovery — your app data (excluding locally stored media files such as photos) is also transmitted to and stored on our servers or those of our service providers.
Certain features, such as restoring your data on a new device or syncing across multiple devices, may be available only to subscribers of our premium plans. For free users, media files (such as photos) are stored locally on your device only and are not transmitted to our servers; if your device is lost, damaged, or the app is uninstalled, locally stored media files cannot be recovered by us. For premium subscribers, media files may be compressed and backed up to our secure cloud storage to enable recovery on a new device. Cloud-stored media is encrypted in transit and at rest, accessible only to you, and will be deleted if you delete your account.
Our apps may request access to your device's photo library so you can add profile pictures, companion photos, memory images, and home screen backgrounds. Your device's camera may also be accessible for taking photos within the app. These permissions are optional — the app functions without them — and photos you add are stored as described above.
Some of our apps, such as Softly, are designed to help you track and journal your relationships with AI companions on other platforms (such as ChatGPT, Claude, Kindroid, and others). These apps do not themselves provide AI companion features, do not generate AI responses, and do not send your personal data to third-party AI service providers. Your journal entries, companion details, and other content remain stored as described in the Data Storage section above. If we introduce features in the future that process your content through third-party AI services, we will update this policy and notify you accordingly.

We use appropriate physical, technical, organizational, and administrative security measures based on the type of Personal Data and how we process it. You should also protect your data by selecting strong passwords and limiting access to your devices.
We retain Personal Data for as long as necessary to provide Services or for our business purposes. When establishing retention periods, we consider who provided the data, our need for it, why we collected it, and its sensitivity. We may retain information in anonymous or aggregated form indefinitely.
You may delete your account at any time through the account settings within the applicable app, or by contacting us at hello@baltar.ai. When you delete your account, we will delete or anonymize your Personal Data within 30 days, including any media files stored in our cloud backup service, except where we are required to retain certain data for legal or regulatory purposes. If you signed in using Sign in with Apple, we will also revoke your Apple authentication token as part of the deletion process. Data stored only on your device (such as locally stored photos, journal entries, or other app content) is not accessible to us and will remain on your device until you remove the app or delete the data manually.
Our apps use Sign in with Apple and Google Sign-In to create and authenticate your account. When you sign in, we receive your email address (or an Apple Private Relay address), your name (if you choose to share it), and a unique identifier from the authentication provider. We do not receive or store your Apple ID password or Google password.
Our apps may request permission to send you push notifications for features such as reminders about upcoming special days, journal prompts, and subscription-related alerts. You can manage or disable notifications at any time through your device settings. We do not use push notifications for advertising.
We do not knowingly collect or solicit Personal Data from children under 18 years of age. If we learn we have collected Personal Data from a child under 18, we will delete that information as quickly as possible.
